Terms of Service

Welcome to Kay Vault ("Kay Vault," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Kay Vault website, mobile applications, APIs, and related services (collectively, the "Platform" or "Service"), operated by YEBOAH ASIAMAH TECHNOLOGIES, a company registered in Ghana.

By creating an account, creating or managing a Hub, or otherwise accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Your Service Provider

The entity providing the Service is YEBOAH ASIAMAH TECHNOLOGIES, a company operating under the laws of the country Ghana, that is into DEVELOPMENT AND INSTALLATION OF WEBSITES AND SOFTWARE.

  1. What Kay Vault Is

Kay Vault is a promotional platform that helps businesses and individuals promote their physical products, digital products, services, and content to a wider audience.

Kay Vault is not a marketplace, payment processor, escrow service, or fulfillment provider unless expressly stated otherwise for a specific feature. We provide visibility and promotional infrastructure — we are not a party to, and do not guarantee, any transaction, sale, delivery, or agreement that may result between a user promoting something and a person who views that promotion, unless a specific Kay Vault feature explicitly states otherwise at the time of use.

  1. Eligibility

To use Kay Vault, you must:

Be at least 18 years old (or the age of legal majority in your jurisdiction), or use the Platform under the supervision of a parent/legal guardian who agrees to these Terms on your behalf where permitted by law; Have the legal capacity and authority to enter into these Terms, and, if acting on behalf of a business, the authority to bind that business; Not be barred from using the Platform under applicable law, including export control, sanctions, or anti-money-laundering laws; Not have been previously suspended or removed from the Platform, unless we've given written permission to return.

  1. Accounts 3.1 Registration

You must provide accurate, current, and complete information when creating an account and keep it up to date. You're responsible for all activity that occurs under your account and credentials.

3.2 Account Security

You must keep your login credentials confidential and notify us immediately at support@kayvault.com if you suspect unauthorized access to your account.

3.3 One Account Per Person/Entity

Unless we approve otherwise in writing, each individual or business may hold only one account and one associated set of Hubs.

  1. Hubs and Identity Verification 4.1 What a Hub Is

A "Hub" is a dedicated space you create on Kay Vault to publish promotional content — for your physical products, digital products, services, or other content — into the Platform's feed system.

4.2 Approval Required

All Hubs must be reviewed and approved by Kay Vault before they can publish or promote content. As part of this review, we verify the identity of the individual or business creating the Hub. This may include requesting:

Government-issued identification; Business registration or incorporation documents; Proof of address or contact details; Ownership or rights information for the products, services, or content to be promoted; Any other information reasonably necessary to confirm identity or legitimacy.

4.3 Our Discretion

We may approve, reject, delay, or revoke Hub approval at our sole discretion, including where:

We cannot verify your identity or the legitimacy of your business; Your intended content violates these Terms, our Acceptable Use Policy, or our Community Guidelines; We reasonably suspect fraud, impersonation, or misrepresentation; We are required to do so by law or by a payment/financial partner.

4.4 Accuracy of Verification Information

You must provide true, accurate, and current identity and business information. Submitting false, stolen, or misleading identity documents is grounds for immediate account and Hub termination, and may be reported to relevant authorities.

4.5 Hub Responsibility

You are solely responsible for all content posted through your Hub and for the accuracy of claims made about products, services, or content you promote.

  1. Content and Promotions

5.1 Your Content

"Content" means anything you submit, post, upload, or otherwise make available through the Platform, including text, images, video, links, product listings, and descriptions.

5.2 License to Kay Vault

You retain ownership of your Content. By posting Content, you grant Kay Vault a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and promote that Content on and through the Platform (including in feeds, search, marketing of the Platform itself, and Hub pages) for as long as your Content remains on the Platform and for a reasonable period after removal for backup, legal, or archival purposes.

5.3 Your Responsibilities

You represent and warrant that:

You own or have all necessary rights, licenses, and permissions for any Content you post and any product, service, or content you promote; Your Content and promotions comply with these Terms, our Acceptable Use Policy, our Community Guidelines, and applicable law; Your promotions accurately represent the products, services, or content being offered.

5.4 Feed Rounds and Slots

Kay Vault distributes approved Hub content through a round-based feed system, which may include free and paid placement tiers by category. Placement, rotation, visibility, and availability of slots are determined by Kay Vault's systems and business rules, which we may change at any time. Purchase of a paid slot does not guarantee any particular level of engagement, sales, or outcome.

  1. Fees and Payments 6.1 Platform Fees

Certain features — including paid feed slots, promoted placements, or premium Hub features — require payment of fees, as described at the time of purchase.

6.2 Billing

Fees are billed in the currency and via the payment method(s) shown at checkout. You authorize us (or our payment processor) to charge your chosen payment method for all fees incurred.

6.3 No Refunds (Default)

Except as required by law or as expressly stated in a specific offer, fees are non-refundable, including for unused slots, rejected content, or Hub suspension resulting from a Terms violation.

6.4 Taxes

You are responsible for any applicable taxes arising from your use of paid features, other than taxes on Kay Vault's own income.

6.5 Third-Party Payment Processing

Payments may be processed by third-party payment providers, who have their own terms and privacy practices. Kay Vault is not responsible for the acts or omissions of these providers.

  1. Prohibited Conduct

In addition to our Acceptable Use Policy and Community Guidelines (incorporated into these Terms by reference), you agree not to:

Impersonate any person or entity, or misrepresent your identity, affiliation, or the nature of what you're promoting; Promote illegal products, services, or content, or content that infringes third-party intellectual property or rights; Circumvent, disable, or interfere with security features, verification processes, or the feed/slot system (including through bots, scripts, or manipulated engagement); Use the Platform to collect user data for unauthorized purposes; Attempt to reverse-engineer, scrape at scale, or resell access to the Platform without our written permission.

  1. Intellectual Property 8.1 Kay Vault's IP

The Platform, including its software, design, branding, logos, and underlying technology, is owned by Kay Vault or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you rights to Kay Vault's IP beyond what's needed to use the Platform as intended.

8.2 Feedback

If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation to you.

  1. Suspension and Termination 9.1 By You

You may deactivate your account and Hub(s) at any time through account settings or by contacting us.

9.2 By Us

We may suspend or terminate your account, Hub(s), or access to specific features, with or without notice, if:

You violate these Terms, our Acceptable Use Policy, or our Community Guidelines; We cannot verify or re-verify your identity; We suspect fraud, abuse, or illegal activity; Required by law, regulation, or a payment partner; Continued operation poses a risk to the Platform, other users, or Kay Vault.

9.3 Effect of Termination

Upon termination, your right to use the Platform ends immediately. We may remove your Content and Hub. Provisions that by their nature should survive (including Sections 6, 8, 10, 11, and 13) will survive termination.

  1. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT PROMOTIONS WILL RESULT IN SALES, ENGAGEMENT, OR ANY PARTICULAR OUTCOME. WE DO NOT VERIFY OR GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY PRODUCT, SERVICE, OR CONTENT PROMOTED BY USERS ON THE PLATFORM, BEYOND OUR HUB APPROVAL PROCESS.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAY VAULT AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF [AMOUNT, $10] OR THE AMOUNT YOU PAID TO KAY VAULT IN THE [TWELVE (12)] MONTHS BEFORE THE CLAIM AROSE.

  1. Indemnification

You agree to indemnify and hold Kay Vault harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your Content, your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

  1. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform will be resolved in the courts of Ghana.

  1. Changes to These Terms

We may update these Terms from time to time. We'll provide notice of material changes (e.g., via email or an in-app notice) before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

  1. General Entire Agreement: These Terms, together with our Acceptable Use Policy, Privacy Policy, Cookie Policy, and Community Guidelines, form the entire agreement between you and Kay Vault regarding the Platform. Severability: If any provision is found unenforceable, the remaining provisions remain in effect. No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
